Subscription and Billing Terms

These Subscription and Billing Terms govern all subscription plans and billing arrangements for TGS Tech platforms and services, including Apex Engine Cloud, Apex Engine Lite, HeroCloud, and the Founders Program. By subscribing to any TGS Tech service, you agree to the terms outlined below.

1. Subscription Plans

TGS Tech offers the following subscription based services:

• Apex Engine Cloud (PaaS): Cloud-based access to the full Apex Engine platform, available as a monthly or annual subscription.
• Apex Engine Lite (SaaS): Standalone single-user desktop application, available as a monthly or annual subscription.
• HeroCloud: Cloud-based hosting and infrastructure supporting HeroEngine deployments, available as a monthly or annual subscription. HeroCloud is a legacy platform provided as-is.
• Founders Program: Early support and loyalty program subscription, available as a monthly subscription at established Founders Program rates.

2. Billing and Payment

• Payment Processors: TGS Tech processes payments securely through Stripe and PayPal. By subscribing, you authorize TGS Tech to charge your selected payment method on a recurring basis in accordance with your chosen billing cycle.
• Automatic Renewal: All subscriptions renew automatically at the end of each billing cycle unless cancelled in accordance with Section 3 of these terms.
• Billing Cycle: Monthly subscriptions are billed every 30 days from the subscription start date. Annual subscriptions are billed once per year from the subscription start date.
• Price Changes: TGS Tech reserves the right to adjust subscription pricing. Subscribers will be notified of any price changes at least 30 days in advance. Continued use of the service following notification constitutes acceptance of the updated pricing.

3. Cancellation

• Notice Required: To avoid being charged for the next billing cycle, cancellations must be submitted at least 48 hours before the end of the current billing period.
• Access After Cancellation: Upon cancellation, access to the applicable service continues until the end of the current billing period. Access will not be extended beyond this date.
• Founders Program Cancellation: Founders Program cancellations are subject to the terms outlined in the TGS Tech Founders Program Terms and Conditions. Accrued Apex Credits remain valid for 12 months following cancellation unless otherwise stated.

4. Failed Payments

• Grace Period: If a payment fails, TGS Tech will attempt to process the payment again during a 7 day grace period. Access to the applicable service will continue during this period.
• Suspension: If payment is not successfully processed within the 7 day grace period, the subscription will be suspended and access to the service will be restricted until payment is resolved.
• Reactivation: Suspended subscriptions may be reactivated by updating payment information and settling any outstanding balance through your account dashboard or by contacting This email address is being protected from spambots. You need JavaScript enabled to view it..
• Data Retention: TGS Tech will retain account data for suspended subscriptions for 30 days following suspension. After this period, data may be permanently deleted.

5. Plan Changes

• Upgrades: Subscribers may upgrade their plan at any time. The new rate takes effect immediately upon confirmation of the upgrade. Any difference in cost will be charged or credited on a prorated basis for the remainder of the current billing cycle.
• Downgrades: Subscribers may downgrade their plan at any time. The new rate takes effect immediately upon confirmation of the downgrade. Any difference in cost will be credited on a prorated basis for the remainder of the current billing cycle.
• Founders Program Rate Protection: Founders Program participants who upgrade their subscription will retain their Founders Program discounted rate for the duration of their active participation in the program.

6. Refunds

Refunds are governed by the TGS Tech Refund and Cancellation Policy. Subscribers are encouraged to review that policy for full details regarding eligibility, process, and terms. 7. Apex Credits

Apex Credits earned through the Founders Program are non-monetary, non-transferable, and have no cash value. Credits may be applied toward Apex Engine Cloud subscription fees only and expire 12 months after the conclusion of the Founders Program unless otherwise stated. Credits are not affected by plan changes but will be forfeited upon cancellation of the Founders Program subscription after the 12 month expiration period.

8. Taxes

Subscription prices are exclusive of applicable taxes. TGS Tech will charge applicable sales tax, VAT, or other taxes where required by law. The tax amount will be displayed at checkout prior to completing your subscription.

9. Governing Law

These Subscription and Billing Terms are governed by the laws of the State of Maryland and Washington, DC. Any disputes arising under these terms will be resolved in the courts of these jurisdictions.

10. Modifications

TGS Tech reserves the right to update these Subscription and Billing Terms at any time. Changes will be communicated through the Apex Engine website, official community channels, and other TGS Tech platforms. Continued use of any TGS Tech subscription service following notification of changes constitutes acceptance of the updated terms.
