Apex Engine Founders Program -Terms and Conditions

Welcome to the Apex Engine Founders Program! By participating in this program, you agree to the following Terms of Service (“Terms”). Please read these Terms carefully before signing up, as they outline your rights and responsibilities and our commitment to you.

1. Program Purpose

The Apex Engine Founders Program is a crowdfunding initiative to support the development of Apex Engine. By participating, you contribute to the platform’s growth and gain early access to its features, exclusive benefits, and discounts. Your contributions help shape the future of Apex Engine.

2. Participation Requirements

To join the Founders Program, you must:

• Be at least 18 years old or have the consent of a legal guardian.
• Provide accurate and complete registration information.
• Agree to these Terms and our Privacy Policy.

By participating, you confirm that your contributions are voluntary and do not create any ownership, equity, or financial interest in the company.

3. Contributions and Payments

• Contributions are processed securely through our payment platform.
• Payments are final and non-refundable unless explicitly stated.
• By contributing, you lock in your pre-sale price for the duration of your active participation in the program.

4. Benefits and Access

As a participant, you will receive:

• Early access to the Apex Engine platform.
• Founders-only access to our Discord server and website.
• Exclusive content, including behind-the-scenes updates and early previews.
• Ongoing discounts on subscriptions or other services as specified.
• Access to Apex Engine Lite, our standalone MVP with early access.
• A continued discounted rate for the Apex Engine Cloud Pilot Program.

While we strive to deliver all promised benefits, features and timelines are subject to change based on development needs.

5. Earning and Using Credits

Participants in the Founders Program will earn two credits for every month of active participation.

Credit Usage:

• Each credit can be applied towards an Apex Engine Cloud subscription to offset its cost.
• Credits will be tracked in your account and can be redeemed as outlined in your subscription dashboard.

Discount Continuation:

• Founders who upgrade their subscription will continue to enjoy the discounted rate provided during the Founders Program.
• Credits can be used in addition to the discounted rate, offering additional savings on upgraded subscriptions.

Credits are non-transferable and expire 12 months after the conclusion of the Founders Program unless otherwise stated.

6. Your Feedback

We value your feedback! Any suggestions or ideas you share as part of the program may be used to improve Apex Engine. By providing feedback, you grant us a non-exclusive, royalty-free license to use, modify, or implement your suggestions without compensation.

7. Intellectual Property

All content, technology, and intellectual property associated with Apex Engine remain the sole property of TGS Tech. Participation in the Founders Program does not grant you ownership rights over any part of the product, platform, or related materials.

8. Termination

We reserve the right to terminate or modify the Founders Program at any time. Your participation may also be terminated if:

• You violate these Terms or engage in behavior detrimental to the program or community.
• You request to withdraw from the program.

If terminated, you will retain access to any credits or benefits accrued during your participation for the duration of their validity.

9. Limitation of Liability

Participation in the Founders Program is voluntary and at your own risk. TGS Tech is not liable for:

• Changes to features, timelines, or availability.
• Losses or damages resulting from participation in the program.

10. Privacy

Your personal information will be handled in accordance with our Privacy Policy. We use your data to process payments, provide program benefits, and communicate updates.

11. Governing Law

These Terms are governed by the laws of the State of Maryland and Washington, DC. Any disputes arising under these Terms will be resolved in the courts of these jurisdictions.

12. Changes to These Terms

We may update these Terms as necessary to reflect changes in the program or legal requirements. Participants will be notified of any significant updates.
